About the Code of Business Conduct and Ethics

We at The Majestic Star Casino, LLC and its subsidaries and casino affiliates (collectively, the "Company") are committed to the highest of standards of business conduct in our relationships with each other and with our customers, suppliers, competitors, government agencies, the media and oher with which we currently have or may have contact with. This requires that we conduct our business in accordance with all applicable laws and regulations and in accordance with the highest standards of business conduct. Thus, in many instances, the policies referenced in the Company's Code of Business Conducts and Ethics (the "Code") go beyond the requirements of the law. The Code helps each of us in the endeavor by providing a statement of the fundamental principles and guiding policies and procedures that govern the conduct of our business. Our business depends on the reputation of all of us for integrity and ethical business conduct.

The Code applies to our employees, officers and directors and is a statement of policies for individual and business conduct. The Code does not, in any way, constitute an employment contract or an assurance of continued employment. The Code is drafted to work in tandem with the employee handbook and any other policy and procedure manuals previously approved by your Human Resources Department. It is not intended to be a replacement to the employee handbook and approved policy and procedure manuals. Employees of the Company are employed at-will, except when covered by an express, written employment agreement. This means that you may choose to resign your employment at any time, for any reason or for no reason at all. Similarly, the Company may chose to terminate your employment with or without cause or with or without notice at any time, for any legal reason or for no reason at all.

The Code is designed to deter wrongdoing and promote:

  • (1) Honest and ethical conduct, including the ethical handling of actual or apparant conflicts of interest between personal and professional relationships;
  • (2) Full, fair, accurate, timely and understandable disclosure in reports and documents that the Company files with, or submites to, the Securities and Exchange Commission (the "SEC") and in other public communications made by the Company;
  • (3) Compliance with applicable governmental laws, rules and regulations;
  • (4) The prompt internal reporting to the appropriate person or department of any violations of the Code; and
  • (5) Accountability for adherence to the Code.

We are committed to continuously reviewing and updating our policies and procedures. All of our employees, officers and directors, at time of hire or acceptance of his or her position, should have been provided with an employee handbook that describes policies and procedures of the Company. The Code is drafted to work in tandem with the employee handbook and any other policy and procedure manuals previously approved by your Human resources Department. It is not intended to be a replacement. Changes to the Code, employee handbooks and approved policies and procedures will be communicated to all employees and finalized. The Code supersedes all other such codes, policies, procedures, instructions, practices, rules or written or verbal representations to the extent they are inconsistent. The terms and provisions of the Code are subject to change. All such changes will be communicated through official notices.
